Welcome to Neplify.

These Terms of Use (“Terms”) govern your access to and use of the Neplify website, mobile applications, Neplify Chat, listings, advertisements, business profiles, community features, media content, and other services operated by Neplify (collectively, the “Platform”). By accessing, registering for, or using Neplify, you agree to these Terms and our applicable policies, including our Privacy Policy, Community Safety Policy, and Posting Guidelines.

If you do not agree with these terms, please do not use Neplify.

1. About Neplify

Neplify is a global digital platform created primarily to connect and serve the global Nepali community.

Neplify allows individuals, businesses, organizations, professionals, students, employers, service providers, event organizers, sellers, buyers, and other users to discover, communicate, connect, promote, and participate in activities through the Platform.

Neplify currently includes the following primary categories:

• Events
• Food
• Products
• Services
• Gifts
• Jobs & Internships
• Accommodations

Neplify may introduce, modify, remove, rename, or reorganize Platform features or categories in the future.

2. Global Community

Neplify is built primarily for the global Nepali community but is not limited exclusively to Nepali citizens or people of Nepali origin. Individuals, businesses, organizations, employers, service providers, and other users of any nationality may use Neplify where their participation, products, services, opportunities, or activities are relevant to the Platform or the community it serves. Neplify may restrict or remove content or activity that is irrelevant, deceptive, harmful, abusive, unlawful, or inconsistent with the purpose or standards of the Platform.

3. Neplify Is a Platform

Neplify provides technology that helps users discover, communicate, and connect with other users, businesses, organizations, products, services, opportunities, and activities. Unless Neplify expressly states otherwise for a specific service, Neplify is not a party to private agreements, purchases, sales, payments, contracts, employment arrangements, bookings, deliveries, service agreements, accommodation arrangements, or other transactions between users or third parties. A profile, listing, business page, advertisement, job, event, product, service, accommodation, or other presence on Neplify does not constitute a guarantee, recommendation, endorsement, certification, or warranty by Neplify. Users are responsible for independently evaluating and verifying the people, businesses, organizations, listings, products, services, employers, accommodations, events, and opportunities with which they choose to interact.

4. User Accounts

Certain Platform features may require a Neplify account.

Users agree to:

• Provide accurate and current information.
• Maintain accurate account information.
• Keep passwords and login credentials secure.
• Protect accounts from unauthorized access.
• Notify Neplify if unauthorized activity is suspected.
• Use accounts only for lawful and legitimate purposes.

Users must not:

• Create fake or misleading accounts.
• Impersonate another person, business, or organization.
• Create accounts for fraudulent purposes.
• Create multiple accounts to avoid suspensions or restrictions.
• Sell, transfer, or improperly share accounts.

Neplify may require email, phone, business, identity, or other verification for certain Platform features.

Verification means only that specified information has been checked. It does not mean that Neplify guarantees that a person or business is trustworthy, safe, financially reliable, or free from fraudulent intentions.

5. User Responsibilities

Users are responsible for their own use of Neplify.

You agree to:

• Use the Platform lawfully and responsibly.
• Provide truthful information.
• Comply with applicable laws and regulations.
• Respect other users.
• Perform appropriate due diligence before entering into agreements or transactions.
• Maintain any licences, registrations, permits, or professional qualifications required for your activities.

You are responsible for the listings, advertisements, messages, products, services, jobs, events, accommodations, and other content you submit to Neplify.

6. Listings and Advertisements

Users may be permitted to post advertisements, listings, products, services, events, jobs, accommodations, business information, and other content.

Listings must:

• Be accurate and truthful.
• Clearly describe what is being offered.
• Use the appropriate category and subcategory.
• Use genuine pricing where pricing is displayed.
• Avoid deceptive or misleading information.
• Comply with applicable laws.
• Follow Neplify’s Posting Guidelines.

Neplify may limit the number of free listings available to users or businesses.

Additional listings, premium features, promotions, advertising, enhanced visibility, or other Platform features may require payment.

7. Events

Event organizers are responsible for ensuring that event information is accurate and lawful.

This includes:

• Event date and time.
• Location.
• Admission conditions.
• Organizer information.
• Pricing where applicable.
• Cancellation information.
• Event descriptions.

Unless expressly stated otherwise, Neplify does not guarantee that an event will occur as advertised.

Event organizers are responsible for fulfilling obligations made to attendees.

8. Food

Restaurants, food businesses, caterers, bakeries, and other food-related businesses are responsible for:

• Accurate food descriptions.
• Pricing information.
• Availability.
• Food safety requirements.
• Allergens and ingredient information where required.
• Applicable licences and legal requirements.
• Customer service and fulfillment.

Unless Neplify expressly provides an official ordering or payment service, food orders and payments arranged directly between users and businesses are private transactions between those parties.

9. Products

Sellers are responsible for ensuring that products listed on Neplify:

• Exist and are available as represented.
• Are accurately described.
• Are lawfully owned or authorized for sale.
• Are not counterfeit, stolen, prohibited, or illegal.
• Display accurate pricing and condition information.

Buyers should independently verify sellers, product condition, pricing, delivery arrangements, and payment terms before making purchases.

10. Services

Service providers are responsible for:

• Accurately describing their services.
• Clearly communicating pricing and conditions.
• Maintaining required professional licences or qualifications.
• Delivering services as agreed.
• Complying with applicable professional and commercial laws.

Neplify does not guarantee the quality, competence, performance, licensing status, or outcome of services provided by third parties unless expressly stated otherwise.

Users should independently verify service providers before entering significant agreements or making payments.

11. Gifts

Gift sellers and businesses are responsible for:

• Product descriptions.
• Pricing.
• Availability.
• Delivery information.
• Delivery timing.
• Product quality.
• Refund and cancellation conditions.

Unless Neplify expressly provides an official transaction or payment service, payments and delivery arrangements are made directly between the parties involved.

12. Jobs & Internships

Employers, businesses, recruiters, and organizations posting jobs or internships must provide accurate and legitimate information.

Job listings must not:

• Promote fraudulent employment opportunities.
• Misrepresent employers.
• Provide intentionally misleading salary information.
• Request fraudulent payments.
• Collect sensitive information deceptively.
• Misrepresent job duties or working conditions.
• Violate applicable employment, recruitment, immigration, or human rights laws.

Job seekers should independently verify employers before accepting employment, providing sensitive information, relocating, or making payments.

Neplify does not guarantee:

• Employment.
• Salary.
• Employer conduct.
• Working conditions.
• Payment by employers.
• Legitimacy of every opportunity.

13. Accommodations

Users offering rooms, apartments, homes, vacation rentals, homestays, or other accommodations are responsible for ensuring that:

• The accommodation exists.
• They have authority to offer it.
• Pricing is accurate.
• Property information is accurate.
• Important conditions are disclosed.
• Applicable laws are followed.

Users should independently verify accommodations and providers before paying deposits, rent, booking fees, or other amounts.

14. Neplify Chat

Neplify Chat allows users to communicate regarding listings, businesses, products, services, jobs, events, accommodations, and other Platform activities.

Users must not use Neplify Chat to:

• Commit fraud or scams.
• Send spam.
• Conduct phishing.
• Harass or threaten users.
• Impersonate others.
• Send malicious links.
• Request passwords or verification codes.
• Distribute unlawful content.
• Attempt to obtain sensitive information through deception.

To protect users and Platform integrity, Neplify may monitor, review, analyze, or process Platform communications and related activity where permitted by applicable law and in accordance with our Privacy Policy.

This may be used to:

• Detect scams and fraud.
• Identify spam.
• Prevent phishing or impersonation.
• Investigate user reports.
• Enforce Platform policies.
• Protect Platform security.

15. Private Payments and Transactions

At this time, unless Neplify expressly identifies a specific service as using an official Neplify payment system, Neplify does not provide a general payment-processing, funds-holding, transaction-protection, or escrow service for private transactions between users.

Private payments are conducted directly between the parties involved.

Before making a payment, users should:

• Verify the other party.
• Confirm what is being purchased.
• Confirm pricing.
• Understand delivery or completion conditions.
• Review cancellation and refund conditions.
• Use appropriate and traceable payment methods.
• Keep records of communications and transactions.

Unless expressly stated otherwise for a specific Neplify-operated service, Neplify does not collect, hold, transfer, release, secure, insure, or guarantee private payments between users.

To the fullest extent permitted by applicable law, Neplify is not responsible for private payment disputes, non-payment, non-delivery, refunds, chargebacks, scams, fraud, or losses arising from transactions conducted directly between users or third parties.

16. Paid Neplify Services

Neplify may offer paid Platform services, including:

• Premium listings.
• Business subscriptions.
• Additional posting capacity.
• Featured listings.
• Advertising.
• Promotional services.
• Enhanced business features.
• Other premium Platform tools.

Applicable prices, billing periods, renewal conditions, and material terms will be presented before purchase where required.

Payments for services purchased directly from Neplify may be processed using third-party payment providers.

17. Future Transaction Services

Neplify may introduce official marketplace transactions, event ticketing, booking services, payment processing, seller payouts, commissions, transaction protection, or other payment-related services in the future.

Where such services are introduced, additional terms may apply, including:

• Marketplace Terms.
• Buyer Terms.
• Seller or Merchant Terms.
• Payment Terms.
• Refund and Cancellation Policies.
• Dispute Resolution Procedures.

Users will be informed where additional terms apply.

18. Prohibited Activities

Users may not use Neplify to:

• Commit fraud or scams.
• Post deceptive listings.
• Create fake businesses.
• Impersonate others.
• Conduct phishing.
• Request passwords or verification codes fraudulently.
• Sell illegal, counterfeit, stolen, or prohibited goods.
• Promote unlawful services.
• Harass, threaten, or abuse other users.
• Promote hate or unlawful discrimination.
• Send spam or malicious links.
• Manipulate ratings or reviews.
• Create fake reviews.
• Attempt unauthorized access to systems or accounts.
• Circumvent security systems.
• Evade suspensions or account restrictions.
• Distribute malware or harmful software.
• Misuse Platform features.
• Violate applicable laws or Neplify policies.

19. Artificial Intelligence and Manipulated Content

AI-generated, synthetic, digitally altered, or manipulated content must not be used to deceive Neplify users.

Users must not use AI-generated or manipulated content to:

• Impersonate individuals.
• Misrepresent businesses.
• Fabricate products or services.
• Create fake events.
• Create misleading listings.
• Falsely depict real-world situations.
• Commit fraud.
• Mislead users about the authenticity of material information.

Where AI-generated or manipulated content could reasonably be mistaken for authentic content, appropriate disclosure may be required by Neplify or applicable law.

Neplify may remove AI-generated or manipulated content that is deceptive, harmful, misleading, unlawful, or inconsistent with Platform policies.

20. User-Generated Content

Users may submit listings, advertisements, text, photographs, videos, reviews, business information, logos, comments, and other content.

Users retain ownership of content they legally own.

By submitting public content to Neplify, users grant Neplify a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, distribute, format, and promote that content as reasonably necessary to operate, improve, market, and provide the Platform.

Users represent that they have the rights and permissions necessary to submit their content.

21. Intellectual Property

The Neplify name, logos, branding, software, designs, graphics, original media content, Platform structure, and other Neplify-owned materials are protected by applicable intellectual property laws.

Users may not improperly copy, reproduce, distribute, modify, sell, license, reverse engineer, or commercially exploit Neplify-owned intellectual property without authorization.

Users must also respect the intellectual property rights of third parties.

22. Reviews and Ratings

Reviews and ratings must reflect genuine experiences.

Users must not submit:

• Fake reviews.
• Fraudulent ratings.
• Manipulated reviews.
• Reviews intended solely to harass.
• Reviews containing unlawful content.
• Undisclosed compensated reviews where disclosure is legally required.

Neplify may remove or restrict reviews that violate Platform policies.

23. Content Moderation

Neplify may review, restrict, reject, remove, or disable content or accounts where reasonably necessary to:

• Protect users.
• Prevent fraud.
• Enforce these Terms.
• Respond to reports.
• Protect Platform security.
• Address illegal activity.
• Maintain Platform quality and integrity.
• Comply with applicable legal requirements.

Neplify may:

• Warn users.
• Remove listings.
• Restrict messaging.
• Limit account functionality.
• Suspend accounts.
• Permanently terminate accounts.
• Prevent repeated abuse.
• Preserve relevant information.
• Cooperate with appropriate authorities where required or permitted by law.

Serious violations may result in immediate action without prior notice where permitted by applicable law.

24. Reporting Fraud and Unsafe Activity

Users should immediately report:

• Suspected scams.
• Fraudulent listings.
• Fake businesses.
• Fake jobs.
• Impersonation.
• Phishing.
• Suspicious payment requests.
• Abusive behavior.
• Illegal content.
• Other unsafe activity.

Reports may be submitted through Neplify’s reporting tools or by contacting Neplify directly.

Neplify may investigate reports and take appropriate action.

Submitting a report does not guarantee a particular enforcement decision.

25. Community Safety

Users are responsible for exercising reasonable caution when communicating or conducting transactions through connections made on Neplify.

Users should review Neplify’s Community Safety Policy for additional guidance regarding:

• Scam prevention.
• Payment safety.
• Protecting personal information.
• Jobs and employment.
• Products and services.
• Accommodations.
• Reporting suspicious activity.

26. Third-Party Services

Neplify may use or link to third-party services, including:

• Payment providers.
• Maps.
• Analytics platforms.
• Advertising services.
• Cloud infrastructure.
• Social networks.
• External websites.

Neplify does not control third-party services and is not responsible for their content, availability, policies, security, products, or conduct.

Use of third-party services may be subject to separate terms and privacy policies.

27. Platform Availability

Neplify may:

• Modify features.
• Introduce new services.
• Discontinue features.
• Change categories.
• Perform maintenance.
• Restrict features.
• Change posting requirements.
• Update Platform technology.

Neplify does not guarantee continuous or uninterrupted availability.

28. Disclaimer of Warranties

To the fullest extent permitted by applicable law, Neplify is provided on an “as is” and “as available” basis.

Neplify does not guarantee that:

• Every user is genuine.
• Every business is legitimate.
• Every listing is accurate.
• Every product will be delivered.
• Every service will be completed.
• Every employer will meet its obligations.
• Every accommodation listing is genuine.
• Every event will occur as advertised.
• Every communication is truthful.
• Every transaction will be successful.
• Every scam or fraudulent activity will be detected.
• The Platform will always operate without interruption or error.

Nothing in these Terms excludes legal rights or responsibilities that cannot legally be excluded.

29. Limitation of Liability

To the fullest extent permitted by applicable law, Neplify and its affiliates, directors, employees, contractors, agents, partners, and service providers will not be liable for losses or damages arising from:

• Private user transactions.
• Private payments.
• Fraud or scams.
• Third-party conduct.
• User-generated content.
• Non-delivery of products.
• Failure to perform services.
• Employment disputes.
• Accommodation disputes.
• Event cancellations.
• Third-party websites or services.
• Unauthorized account access.
• Platform interruptions.
• Technical failures.
• Reliance on user-provided information.

Nothing in these Terms limits liability that cannot legally be limited under applicable law.

30. Indemnification

To the extent permitted by applicable law, users agree to indemnify and hold harmless Neplify and its affiliates, directors, employees, contractors, agents, and partners from claims, losses, liabilities, damages, costs, and reasonable legal expenses arising from:

• Unlawful use of Neplify.
• Violation of these Terms.
• Violation of another person’s rights.
• User listings or content.
• Products or services offered by the user.
• Fraudulent or misleading activity.
• Violation of applicable law.

31. Account Suspension and Termination

Neplify may suspend, restrict, or terminate accounts for:

• Fraud.
• Scams.
• Spam.
• Abuse.
• Policy violations.
• Illegal activities.
• Security threats.
• Repeated complaints.
• Attempts to evade enforcement.
• Harmful or suspicious behavior.

Users whose accounts are permanently terminated may be prohibited from creating replacement accounts.

32. Privacy

Use of Neplify is also governed by our Privacy Policy.

Our Privacy Policy explains how Neplify collects, uses, discloses, stores, processes, and protects personal information.

33. Changes to These Terms

Neplify may update these Terms periodically.

Updates may reflect changes in:

• Platform features.
• Business models.
• Safety requirements.
• Technology.
• Legal requirements.
• Marketplace services.
• Payment services.
• Platform policies.

Updated Terms will be posted with a revised “Last Updated” date.

Where required by applicable law, Neplify may provide additional notice of material changes.

34. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue to apply to the fullest extent permitted by applicable law.

35. No Waiver

Failure by Neplify to immediately enforce any provision of these Terms does not waive Neplify’s right to enforce that provision later.

36. Governing Law

These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada, except where applicable law requires otherwise.

Subject to applicable law, disputes relating to Neplify or these Terms will be brought before the appropriate courts in Ontario, Canada.
